Introduction

Welcome to the SureSpace “Terms & Conditions” which describe and govern our relationship with you in respect of our services.
Whenever these Terms & Conditions say, “My NDPA Ltd,” “we,” “us,” and “our,” it refers to My NDPA Ltd, incorporated in England & Wales, registration number 15615720, registered address: 2-4 Petworth Road, Haslemere, England, GU27 2HR.
Whenever these Terms & Conditions say “SureSpace,” it refers to our product available via desktop browser (https://surespace.com) and mobile application. SureSpace is a social platform for creative expression, tailored for users 18 years of age and older.
Whenever these Terms & Conditions say “you,” it refers to any user of the age of eighteen (18) years or older.
It’s important that you read and understand these Terms & Conditions carefully because they create a legally binding contract between us.

Clause 1: Eligibility and Commencement

(a) You agree and understand that SureSpace is only available to individuals aged eighteen (18) years or older.
(b) If you are eighteen (18) years or older, you may independently enter into these Terms & Conditions.
(c) We monitor for underage use and will terminate accounts if we reasonably suspect that you are underage or are allowing someone underage to use your account.
(d) These Terms & Conditions commence on the date upon which you confirm acceptance.

Clause 2: Your Account

(a) When you create an account, you must provide accurate and up-to-date information about yourself, such as your date of birth.
(b) Take reasonable steps to keep your password confidential. If you suspect someone has access to your password, contact us at [email protected] immediately.

Clause 3: Changes to SureSpace and These Terms & Conditions

(a) We may change SureSpace to:
Reflect changes in relevant laws and regulatory requirements
Implement minor technical adjustments and improvements
Adopt new technologies
(b) We may modify these Terms & Conditions, Privacy Notice, or Cookies Notice from time to time. If we make material changes, we will notify you via email or other appropriate means before the changes become effective.
(c) Continued use of SureSpace after these changes implies acceptance of the updated terms.

Clause 4: Access to SureSpace

(a) SureSpace grants you a non-exclusive, limited, revocable right to access and use the platform subject to these Terms & Conditions.
(b) You are responsible for ensuring you have the necessary hardware, software, and network access to use SureSpace.
(c) Certain premium features are available for a £5.00 monthly subscription, with a seven (7) day free trial. Refunds are available within fourteen (14) days if premium features have not been accessed.
(d) We may suspend or restrict access for maintenance or operational reasons. If access is restricted for more than three (3) consecutive days, contact us for a refund.

Clause 5: Our Commitment to You

(a) We take reasonable steps to keep SureSpace safe and secure.
 (b) SureSpace does not guarantee that user-generated content will:
Be accurate, complete, or up-to-date
Not offend you
Not infringe on third-party rights
(c) Most content on SureSpace is user-generated and does not reflect the views of SureSpace.

Clause 6: What You Can Do on SureSpace

You can use SureSpace to:
Interact with other users sharing creative interests.
Engage with, create, and share artistic works such as AI-generated art, videos, and images.
View and participate in content and projects centered around creative expression.
The permission we give to you:
Is limited to these activities and can be withdrawn if you violate these Terms & Conditions.

Clause 7: AI Usage and User Responsibility

(a) SureSpace provides AI-driven tools to enhance user experience, such as generating art or other creative outputs. Users can opt-out of AI features via their account settings if they choose not to use them.
(b) Any content created with AI features is treated as user-generated content, and the user retains intellectual property rights over their creations.
(c) Users are responsible for ensuring that AI-generated content does not infringe upon third-party intellectual property rights or violate any laws. SureSpace assumes no responsibility for the accuracy or originality of AI-generated content.

Clause 8: What You Can’t Do on SureSpace

(a) You must not use SureSpace to:
Do anything illegal
Copy, modify, or create derivative works of SureSpace Ltd
Circumvent security or introduce disruptive software
Harvest or collect data from other users without their consent

Clause 9: Content Moderation and Reporting

(a) Users must not upload or send content that is defamatory, deceptive, obscene, promotes illegal activities, or infringes intellectual property rights.
(b) SureSpace provides a mechanism for users to report content that violates these Terms & Conditions. If content is reported, SureSpace will review the report within 48 hours and may take actions such as removing the content, issuing warnings, or suspending accounts, depending on the severity of the violation.

Clause 10: Guidelines for Parents and Guardians

This section is removed since SureSpace now caters only to users aged 18 and older.

Clause 11: Intellectual Property

(a) SureSpace Ltd owns all intellectual property related to the platform, except user-generated content.
(b) Any content generated through SureSpace’s AI tools remains the intellectual property of the user, unless it incorporates third-party elements (e.g., pre-existing data or media provided by SureSpace or partners).
(c) Users are responsible for ensuring their AI-generated content does not infringe on third-party rights. SureSpace holds no liability for any intellectual property disputes arising from AI-generated content.
(d) By using SureSpace, you grant us a license to use, distribute, and display your content on the platform as necessary to provide our services.

Clause 12: Data Protection

(a) We comply with applicable data protection law.
(b) For details on how we handle your personal data, refer to our Privacy Notice.

Clause 13: Limitation of Liability for AI Output

SureSpace makes no warranties regarding the accuracy or reliability of AI-generated content. SureSpace is not liable for any loss, damage, or legal action resulting from a user’s reliance on or use of AI-generated content, including intellectual property disputes.

Clause 14: Liability

(a) We are not liable for special, incidental, consequential, or punitive damages, such as loss of data or profit.
(b) Our total liability for claims is limited to the total fees you have paid in the twelve (12) months preceding the claim.

Clause 15: Your Rights

(a) You may end your relationship with SureSpace by closing your account. Deleting your account terminates your access to all SureSpace content.
(b) When you delete your account, SureSpace will remove your personal data in accordance with our Privacy Notice. However, any content that you have shared publicly or collaboratively within SureSpace may remain available unless it is deleted by you prior to the account deletion. Anonymized data or content may be retained for research or statistical purposes.

Clause 16: SureSpace’s Rights

(a) We may terminate your account if:
You breach these Terms & Conditions
We are legally required to do so
(b) Any clauses intended to survive termination will remain in effect.

Clause 17: Third-Party Links and Services

SureSpace may contain links to third-party websites or integrate third-party services. We are not responsible for the content, security, or privacy practices of any third-party websites or services. Users access these links or services at their own risk, and we encourage users to review the terms and policies of these third parties.

Clause 18: Other Important Terms

(a) These Terms & Conditions constitute the entire agreement between you and SureSpace Ltd.
(b) Events outside of our control may impact the availability of SureSpace.
(c) SureSpace Ltd reserves the right to transfer this contract to another organization.

Governing Law and Jurisdiction

These Terms & Conditions are governed by the laws of England and Wales, and any disputes shall be resolved in the courts of England and Wales.
